0. Who provides Reeledia

Reeledia (the "Service") is provided by Błażej Winiarski [legal name to be confirmed], operating from Dąbrowa Dolna 6, 26-010 Bodzentyn, Poland ("Reeledia," "we," "us"). [Business registration status — sole trader registration / NIP — to be confirmed before this Service accepts real payments.] These Terms are a working draft and have not yet been reviewed by a licensed attorney or accountant; they should not be treated as final until that review happens and the bracketed placeholders above are resolved.

1. Acceptance of these Terms

By creating an account, starting a trial, or purchasing a subscription, you agree to these Terms of Service and to our Privacy Policy. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case "you" refers to that entity.

2. What Reeledia is

Reeledia is Windows desktop software that lets you manage physical Android devices you own or control over ADB, organize and schedule short-form video content, publish it through the native apps installed on those devices, and (optionally) generate short-form video with an AI module. Reeledia is a workflow and automation tool. It does not create, control, or operate the social media accounts you connect, and it does not act as a social media platform itself.

3. Accounts

You need an account to purchase and use a subscription. You are responsible for keeping your account credentials confidential and for all activity under your account. You must provide accurate information and keep it up to date. You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account.

4. Subscriptions, pricing & billing

Reeledia is sold as a recurring subscription, billed in USD through our payment processor (expected to be Stripe [to be confirmed]). By subscribing, you authorize us (via our payment processor) to charge your payment method on a recurring basis until you cancel. We do not store your full card details ourselves — they are handled directly by the payment processor.

Prices may change for future billing periods; we will give you reasonable notice before a price change takes effect for an active subscription. Taxes (including any applicable VAT or sales tax) may be added at checkout depending on your location and our tax registration status [VAT/tax registration status to be confirmed].

5. Free trial

We may offer a free trial lasting 7 days, limited to a single connected device (rather than the full multi-device functionality of a paid plan). The trial ends automatically after 7 days regardless of usage. We may change, limit, or discontinue the trial at any time. If a trial requires payment details up front, you will be told before the trial starts whether and when charges begin.

6. Cancellation

You can cancel your subscription at any time from your account. If you cancel, you keep access until the end of the billing period you already paid for, and the subscription will not renew after that. Cancelling does not entitle you to a refund for the current billing period except as described in Section 7.

7. Right of withdrawal for consumers (EU) & refunds

If you are a consumer in the European Union, you would normally have a 14-day right to withdraw from an online purchase. Because Reeledia is digital content delivered immediately on purchase (instant account access), you will be asked at checkout to give your explicit, separate consent for us to begin providing the Service immediately and to acknowledge that, by doing so, you lose your right of withdrawal once the Service has started, in accordance with applicable EU consumer law. If that consent is not captured at checkout, the standard 14-day withdrawal right applies instead.

Outside of that statutory withdrawal right, subscription payments are non-refundable once a billing period has started, except where required by law or where we decide, at our discretion, to make an exception.

8. The clip library

Paid plans include access to a library of ready-to-use video clips that you may queue and publish through the Service. This library is sourced from a third-party content pack. We currently give you a license to use these clips for publishing through the Service during your active subscription, but we do not yet warrant that we hold full, verified rights to redistribute or sublicense every clip in this library for every use, and we are actively working to confirm the underlying rights. We may remove, replace, or restrict access to any clip at any time, including in response to a rights claim. Your license to any given clip ends when your subscription ends; it does not survive cancellation. Do not use library clips in a way that goes beyond normal publishing through the Service (for example, reselling the raw clip files) until this is clarified further.

9. AI video generation & third-party compute

The AI generation module sends generation jobs to infrastructure that you connect and pay for directly with a third-party GPU provider (for example, RunPod running a tool such as ComfyUI). We do not host that infrastructure, do not control its availability, pricing, or security, and are not responsible for costs you incur with that provider or for their handling of any data or content processed on their systems. Your use of that third-party infrastructure is governed by that provider's own terms.

10. Your content & your responsibility for what you publish

You are solely responsible for the content you import, generate, queue, schedule, and publish through the Service, and for having the rights to use and publish it. You are solely responsible for the devices and social media accounts you connect to Reeledia, and for making sure you are authorized to manage and post to them.

11. Compliance with third-party platforms (TikTok, Instagram, YouTube, etc.)

Reeledia automates actions on devices and accounts you control; it does not have a special relationship with TikTok, Instagram/Meta, YouTube, or any other platform. You are solely responsible for complying with the terms of service, community guidelines, and automation/API policies of every platform you connect. Platforms may change their rules, detection methods, or app behavior at any time without notice to us. Reeledia does not guarantee compatibility with any platform on an ongoing basis and is not responsible for account suspensions, bans, shadowbans, reduced reach, or any other action a platform takes against your accounts or devices, whether or not related to your use of the Service.

12. Devices & ADB access

You must own or otherwise have the legal right to control every physical device you connect to Reeledia over ADB. You are responsible for the security of those devices and of the accounts logged into them.

13. Affiliate program

Subscribers may join our affiliate program and receive a personal referral link. Unless stated otherwise for a specific promotion, the program works as follows:

  • Commission is 50% of the customer's first payment only (not recurring renewal payments).
  • Commission is provisional until the refund/chargeback window on the referred payment has passed. If the referred customer is refunded or charges back, the corresponding commission is forfeited or deducted from your next payout.
  • Payouts are made monthly, subject to a minimum payout threshold of 200 PLN (or the USD equivalent).
  • If you operate a registered business, you are responsible for invoicing us in accordance with applicable law. If you are an individual not operating a business, payout will follow the applicable tax treatment for individuals under Polish law; you are responsible for your own tax obligations in your country of residence. You do not need to have a registered business to join the program.
  • You may not use spam, misleading claims, paid brand-keyword advertising, or misrepresent your relationship with Reeledia to generate referrals. We may suspend or terminate your participation and withhold unpaid commission for violations of this section or of applicable law.

We may publish a separate, more detailed Affiliate Agreement in the future; if we do, it will govern the program alongside these Terms.

14. Intellectual property & license to use the software

Reeledia and its underlying software remain our property (or that of our licensors). Subject to these Terms and your active subscription, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Reeledia desktop application for your own business or personal use. You may not reverse engineer, decompile, resell, sublicense, or redistribute the software itself, except as expressly permitted here.

15. Acceptable use

You agree not to use Reeledia to:

  • Publish illegal content, or content you do not have the rights to publish;
  • Access or control devices, accounts, or infrastructure you are not authorized to use;
  • Attempt to circumvent licensing, device, or usage limits of the Service;
  • Interfere with the operation or security of the Service or of any platform you connect to;
  • Violate any applicable law.

16. Disclaimer of warranties

Except as required by mandatory law (including statutory guarantees available to consumers), the Service is provided "as is" and "as available," without warranties of any kind, express or implied, including fitness for a particular purpose, non-infringement, or uninterrupted or error-free operation.

17. Limitation of liability

To the maximum extent permitted by law, Reeledia will not be liable for indirect, incidental, consequential, or special damages, including lost profits, lost accounts, or lost content, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim arose. Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for intent or gross negligence where mandatory, or the statutory rights of consumers.

18. Indemnification

You agree to indemnify and hold Reeledia harmless from claims, damages, and expenses (including reasonable legal fees) arising from your content, your use of connected devices and accounts, or your violation of these Terms or of a third-party platform's terms, except to the extent caused by our own breach of these Terms or of mandatory law.

19. Suspension & termination

We may suspend or terminate your access if you materially breach these Terms, misuse the Service, or fail to pay. You may stop using the Service and cancel your subscription at any time. Sections that by their nature should survive termination (including Sections 14, 16, 17, 18, and 21) will survive.

20. Changes

We may update the Service or these Terms from time to time. For material changes, we will give reasonable notice (for example, by email or an in-app/website notice) before they take effect for existing subscribers.

21. Governing law & disputes

These Terms are governed by the laws of Poland, without regard to conflict-of-law rules. If you are a consumer habitually resident in the European Union, this choice of law does not deprive you of the mandatory consumer-protection rules of your own country of residence, which continue to apply alongside these Terms. Disputes will be submitted to the competent courts of Poland, unless mandatory consumer law gives you the right to bring a claim in the courts of your own country instead.

If you are a consumer in the EU, you can also access the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr to resolve a dispute with us out of court.

22. Miscellaneous

If any provision of these Terms is found unenforceable, the rest remain in effect. These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service. You may not assign your rights under these Terms without our consent; we may assign ours in connection with a merger, acquisition, or sale of assets.
